1. Agreement to Terms

• Consultation and strategy services

Services are provided on a project basis, retainer agreement, or as otherwise specified in individual service agreements.

3. Use of Website and Services

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent that you meet these requirements.

6. Intellectual Property Rights

6.1 Client Content

You retain ownership of any content, materials, or information you provide to us ("Client Content"). By providing Client Content, you grant us a license to use it solely for the purpose of delivering services to you.

6.2 Deliverables

Upon full payment, you will receive ownership rights to final deliverables as specified in the service agreement. Until full payment is received, SSS Digital retains all rights to work product.

6.3 SSS Digital Property

SSS Digital retains ownership of:

• Our website, tools, and software
• Our methodologies and processes
• Pre-existing intellectual property
• Rights to use project for portfolio and marketing purposes (unless otherwise agreed)

6.4 Third-Party Content

Some deliverables may incorporate third-party content (stock photos, fonts, software libraries) that are subject to their respective licenses.

7. Confidentiality

Both parties agree to maintain confidentiality of sensitive information disclosed during the course of the business relationship. This obligation continues after the termination of services.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN SERVICE AGREEMENTS, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.3 Third-Party Services

We are not responsible for the performance, availability, or security of third-party services or platforms that may be integrated into your project.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SSS DIGITAL SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the amount paid for services in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold SSS Digital harmless from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you provide to us

11. Project Termination

11.1 Termination by Client

Clients may terminate a project with written notice. Client will be responsible for payment for work completed up to the termination date, and deposits are non-refundable.

11.2 Termination by SSS Digital

We reserve the right to terminate a project if:

• Payment terms are not met
• Client breaches the service agreement
• Client requests services outside our scope or values
• Continuation of the relationship is not feasible

12. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to our privacy practices as described in that policy.

13. AI and Automated Tools

Our website and services may use artificial intelligence and automated tools. While we strive for accuracy:

• AI-generated recommendations are for informational purposes only
• Results may vary and are not guaranteed
• Final service agreements supersede any AI-generated estimates
• We do not guarantee the accuracy or completeness of AI outputs

14. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.

15. Dispute Resolution

In the event of any dispute, parties agree to first attempt to resolve the matter through good-faith negotiations.
